Prohibited & Restricted Products Policy

This Prohibited & Restricted Products Policy (“Policy”) sets out the categories of products that may not be listed, offered, sold, supplied or otherwise transacted by distributors, sellers and other eligible business entities (“Distributor”) through SutraFin (“Platform”), a B2B technology platform owned and operated by SutraOS Technologies Private Limited (“Company”).

This Policy establishes the requirements applicable to products listed or supplied by a Distributor on the Platform and is intended to promote compliance with applicable laws, regulatory requirements, safety standards and intellectual property rights. Each Distributor shall be responsible for ensuring that the products listed or supplied by the Distributor on the Platform comply with this Policy and all applicable legal and regulatory requirements.

1. Prohibited Products

1.1The following products must not be listed, offered, sold or supplied through the Platform:

  1. counterfeit, pirated or stolen goods
  2. illegally obtained or fraudulently sourced goods
  3. illegal narcotics, prohibited substances or other unlawful drugs
  4. illegal weapons, ammunition or explosives
  5. adulterated, expired or unlawfully recalled products
  6. products that present a serious or unreasonable risk to health or safety
  7. products that infringe intellectual property or other proprietary rights
  8. products bearing false, fraudulent or misleading regulatory or certification markings
  9. prohibited wildlife products or products obtained, traded or imported in violation of applicable law
  10. products whose sale, supply or distribution is prohibited under applicable law.

1.2The list of Prohibited Products is not exhaustive, and any product prohibited under applicable law shall be treated as a Prohibited Product for the purposes of this Policy.

1.3The Company may remove or restrict any product where the Company reasonably believes that the product falls within a prohibited category or may result in a violation of applicable law or this Policy.

2. Restricted Products

2.1Certain product categories are restricted on the Platform and may be listed or supplied only where the Distributor has obtained and maintains all licences, registrations, approvals, permissions and other authorisations required under applicable law and complies with any additional requirements prescribed by the Company.

2.2The restricted product categories may include:

  1. alcoholic beverages
  2. tobacco and nicotine products
  3. pharmaceuticals and medicines
  4. medical devices
  5. nutraceuticals, dietary supplements and similar products
  6. pesticides, insecticides and other regulated agricultural inputs
  7. hazardous chemicals and substances
  8. controlled or regulated commodities
  9. age-restricted products
  10. precious metals and precious or semi-precious stones
  11. food and food-related products
  12. any other product category subject to specific legal, regulatory, licensing or safety requirements.

2.3The Company may require additional information, documentation, verification or prior approval before permitting a Restricted Product to be listed or supplied through the Platform.

2.4Any approval or permission granted by the Company for listing or supplying a Restricted Product shall not relieve the Distributor of the obligation to obtain and maintain all licences, registrations, approvals or other authorisations required under applicable law.

3. Product Compliance, Authenticity and Listings

3.1Distributors are responsible for ensuring that all products listed or supplied through the Platform are genuine, safe, accurately described and compliant with applicable laws and regulatory requirements.

3.2Product listings must contain accurate and complete information, including, where applicable, the brand, manufacturer, country of origin, quantity, ingredients, specifications, certifications, licences, MRP, variant/quantity/packaging details, as applicable and expiry or best-before information.

3.3Products requiring any licence, registration, approval, permission or other authorisation must not be listed or supplied unless the Distributor has obtained and maintains the required authorisations. Expired products must not be listed, dispatched, sold or supplied through the Platform. Products that are subject to a safety notice, regulatory restriction or required withdrawal from sale must be promptly removed from the Platform and handled in accordance with applicable requirements.

3.4The Company may ask a Distributor to provide documents or information relating to the authenticity, source or lawful distribution of a product, including purchase invoices, manufacturer or distributor details, authorisation letters, trademark permissions, licences or other relevant documents. The Distributor must provide the requested information within the time specified by the Company.

3.5Product listings must not contain false, misleading, incomplete or materially inaccurate information, including information relating to the brand, manufacturer, origin, quality, quantity, ingredients, specifications, certifications, licences, regulatory status, MRP, variant/quantity/packaging details, as applicable, expiry or other material characteristics.

4. Food Products

4.1Food products may be listed or supplied through the Platform only in compliance with applicable food safety and regulatory requirements. A Distributor dealing in food products shall obtain and maintain all registrations, licences and approvals required under applicable law, including applicable requirements under the Food Safety and Standards Act, 2006 and the regulations made thereunder.

4.2The Company may require such additional documentation or verification as may be necessary to confirm compliance before permitting food products to be listed or supplied through the Platform.

5. Reporting, Investigation and Enforcement

5.1Suspected prohibited products, counterfeit products, unsafe products or other violations of this Policy may be reported through the reporting mechanisms made available by the Platform. The Company may request supporting information or documentation where reasonably required to assess a report.

5.2Where the Company identifies or reasonably suspects a violation of this Policy or applicable law, the Company may, as appropriate:

  1. request information or supporting documents from the Distributor
  2. restrict, suspend or remove a product listing
  3. prevent or restrict the listing or supply of a product
  4. suspend or restrict the Distributor's access to the Platform
  5. terminate the Distributor's access in accordance with the applicable terms
  6. preserve relevant records or evidence
  7. notify or cooperate with rights holders, regulators, law enforcement authorities or other competent authorities where required or appropriate under applicable law.

5.3The Company may immediately restrict or remove any product where required by applicable law, a direction of a competent authority, or where reasonably necessary to address an immediate legal, regulatory or safety risk.

5.4A Distributor must not circumvent this Policy or any product restriction through misleading descriptions, incorrect categories, altered product names or images, spelling variations, duplicate listings, multiple accounts or any other means.

6. Updates to this Policy

6.1The Company may modify, add to or remove prohibited or restricted product categories from time to time to reflect changes in applicable law, regulatory requirements, safety considerations, Platform policies or operational requirements.

6.2Any updated version of this Policy shall be made available through the Platform and shall apply from the effective date specified therein.
